Terms of Service

1. Agreement to Terms

By accessing or using the services of Honeydew Media Marketing Limited ("Honeydew Media", "we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Honeydew Media provides marketing, creative, and content services including but not limited to brand strategy, creative direction, content production, campaign planning, and web design. Specific deliverables and scope are defined in individual project proposals or service agreements.

3. No Guarantees

While we strive to deliver high-quality work designed to support your business goals, we do not guarantee specific business outcomes, performance metrics, revenue increases, or marketing results. Success depends on many factors outside our control, including market conditions, audience behavior, and implementation by the client.

4. Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely feedback and approvals at project milestones
• Supply necessary access, credentials, and brand materials
• Respond to requests for information within agreed timeframes
• Use deliverables in accordance with usage guidelines provided
• Communicate changes to scope or requirements promptly

5. Intellectual Property

Upon full payment for services rendered:

• Client Ownership: You own the final deliverables created specifically for your project
• License Grant: We grant you a perpetual, worldwide license to use the deliverables for your business purposes
• Portfolio Rights: We retain the right to display project work in our portfolio and marketing materials unless otherwise agreed
• Third-Party Assets: Stock images, fonts, and third-party tools remain subject to their original licenses

6. Payment Terms

Payment terms are specified in individual project proposals. Typical arrangements include:

• 50% deposit required to commence work
• Final 50% due upon project completion and handover
• Monthly retainers invoiced at the start of each month
• Payment due within 14 days of invoice date

Late payments may result in suspension of services until account is current.

7. Revisions and Changes

Each project includes a specified number of revision rounds (typically 2). Additional revisions or scope changes may incur additional fees. We will always communicate costs before proceeding with out-of-scope work.

8. Project Delays

Project timelines are estimates based on typical workflows. Delays caused by late client feedback, scope changes, or force majeure events may extend delivery dates. We will communicate any anticipated delays promptly.

9. Limitation of Liability

To the fullest extent permitted by law, Honeydew Media shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific services in question.

10. Termination

Either party may terminate a project with written notice. Upon termination, the client is responsible for payment for work completed to date. Completed deliverables up to the termination point will be provided.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
